Pre-launch draft. These terms are structured for review and finalization by Texas counsel. The funding-relationship terms (assignment, repayment, recourse, warranties, default) belong in a separate Master Funding Agreement, not this document. Items marked [REVIEW WITH COUNSEL] need confirmation.

About these terms

These Terms of Service govern your use of the Director’s Funding Source website (the “Site”) and our client portal (the “Portal”). They do not govern any funding transaction. Funding transactions are governed by a separate Master Funding Agreement and the Assignment of Insurance Proceeds executed for each case.

Who may use the Site and Portal

The Site and Portal are intended for: licensed Texas funeral establishments and their authorized employees and representatives; and prospective applicants exploring our services. The Portal is available only to onboarded funeral homes with active accounts.

What we are and are not

We are a Texas-based assignment-funding firm. We are not an insurance company, life-settlement provider, or viatical-settlement provider. Advances we make are non-recourse purchases of assigned life-insurance proceeds, not loans. Nothing on the Site or Portal constitutes legal, tax, accounting, or financial advice.

Your account

  • You must keep account credentials confidential.
  • You are responsible for activity under your account.
  • You must notify us promptly of any suspected unauthorized access at security@directorsfunding.com.
  • We may suspend or terminate accounts that violate these terms, the Master Funding Agreement, or applicable law.

Acceptable use

You agree not to:

  • Submit false, misleading, or fraudulent information.
  • Upload malware or attempt to compromise the Site or Portal.
  • Use the Site or Portal in violation of any applicable law.
  • Reverse-engineer or scrape the Site or Portal.
  • Submit personal information of any individual without authority to do so.

Electronic signatures and records

You consent to do business with us electronically and to receive communications, disclosures, and contracts in electronic form, as permitted by Tex. Bus. & Com. Code Ch. 322 (UETA) and the federal ESIGN Act (15 U.S.C. §7001). You may withdraw this consent in writing, in which case we may be unable to continue providing service through the Portal.

Intellectual property

The Site and Portal, including text, graphics, marks, and code, are owned by Director’s Funding Source and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Site and Portal for their intended purpose.

Confidentiality

Information that funeral homes share with us in the course of funding (assignment forms, death certificates, policy details, beneficiary information) is treated as confidential and handled in accordance with our Privacy Policy.

Disclaimers

The Site and Portal are provided on an “as is” and “as available” basis. We disclaim all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or Portal will be uninterrupted, error-free, or secure.

Limitation of liability

[REVIEW WITH COUNSEL] Counsel will draft a venue- and statute-appropriate liability cap. Generally: to the maximum extent permitted by law, we are not liable for indirect, consequential, special, or punitive damages, and our aggregate liability for the Site and Portal is limited to a stated dollar amount.

Indemnity

[REVIEW WITH COUNSEL] Counsel to draft mutual indemnification consistent with the Master Funding Agreement.

Governing law and venue

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Exclusive venue for disputes lies in the state and federal courts seated in Harris County, Texas. [REVIEW WITH COUNSEL] confirm arbitration vs. court election.

Changes to these terms

We may update these terms from time to time. The “Last updated” date above reflects the most recent revision. Material changes will be posted prominently or communicated by email to Portal account holders.
